VoxeraX Terms of Service

Introduction

Welcome to VoxeraX. These Terms of Service govern your access to and use of the VoxeraX website, applications, APIs, if made available, and all related products and services collectively referred to as the “Services.”

By creating an account, accessing, or using the Services, you agree to be legally bound by these Terms. If you do not agree with these Terms, you must not access or use the Services.

If you are using VoxeraX on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In such cases, the terms “you” and “your” refer to both you and the entity you represent.

1. About VoxeraX

VoxeraX is an AI-powered voice-generation platform that enables users to create speech from text, clone voices, design AI voices, transcribe audio, and manage AI-generated voice assets.

VoxeraX may use third-party service providers to operate and improve the Services.

2. Eligibility

To use VoxeraX, you must:

• Be at least 18 years old, or have the permission and supervision of your parent or legal guardian, who agrees to these Terms on your behalf.
• Have the legal capacity to enter into these Terms, or have your parent or legal guardian do so on your behalf.
• Provide accurate and truthful registration information.
• Comply with all applicable laws and regulations.

You are responsible for maintaining accurate account information at all times.

3. Your Account

You are responsible for maintaining the confidentiality of your account credentials.

You agree to:

• Keep your password secure.
• Not share your account with another person.
• Notify VoxeraX immediately if you suspect unauthorized access to your account.
• Use only one account unless VoxeraX expressly authorizes additional accounts.

You are responsible for all activities performed through your account.

4. Multiple Accounts and Free-Trial Abuse

To ensure fair use of VoxeraX, users may not create multiple accounts to:

• Obtain additional free credits.
• Circumvent subscription or usage limits.
• Bypass suspensions or restrictions.
• Abuse promotional offers.

VoxeraX may use technical measures to detect abuse, including, but not limited to:

• Email verification.
• IP analysis.
• Device or browser identification.
• Usage-pattern analysis.
• Other reasonable fraud-prevention methods.

Accounts found to be abusing the platform may be suspended or permanently terminated without prior notice.

5. Subscription Plans

Some VoxeraX features require a paid subscription.

Subscription plans may include limitations such as:

• Monthly text-to-speech characters.
• Speech-to-text minutes.
• Voice-cloning access.
• Voice Design access.
• Saved-voice limits.
• Other usage limits described on the Pricing page.

Subscription features and limits may change over time.

6. Billing and Payments

Paid subscriptions are processed by our authorized payment provider.

By purchasing a subscription, you authorize VoxeraX and its payment processor to charge your selected payment method.

Subscriptions renew automatically unless canceled before the renewal date.

Failure to pay may result in:

• Suspension of premium features.
• Reduction to the free plan.
• Loss of unused monthly allowances.
• Temporary account restrictions.

Unless required by applicable law, subscription fees are non-refundable after a billing period has begun.

7. AI Services

VoxeraX provides access to AI-powered features, including:

• Text-to-Speech (TTS).
• Speech-to-Text (STT).
• Voice Cloning.
• Voice Design.

These Services may be powered by one or more third-party AI providers.

VoxeraX may replace or add providers at any time without affecting these Terms.

Because AI systems are probabilistic technologies:

• Results may vary.
• Generated audio may contain inaccuracies.
• Transcriptions may contain errors.
• Voice-generation quality may differ depending on the input.

Users remain responsible for reviewing AI-generated outputs before publishing, distributing, or relying upon them.

8. Voice Cloning

Voice cloning is a powerful technology and must be used responsibly.

By uploading any voice sample to VoxeraX, you represent and warrant that:

• You own the voice; or
• You have obtained all necessary rights, permissions, licenses, and consents to clone and use the voice.

You must not upload voice recordings belonging to another person without their explicit authorization.

Before creating a cloned voice, VoxeraX may require you to confirm:

“I hereby confirm that I have all necessary rights or consents to upload and clone this voice and that I will not use the platform-generated content for any illegal, fraudulent, or harmful purpose. I reaffirm my obligation to abide by the VoxeraX Terms of Service, Privacy Policy and Prohibited Content & Acceptable Use Policy.”

False confirmations constitute a material violation of these Terms.

9. User Content

You retain ownership of the content you upload to VoxeraX, including:

• Text.
• Audio files.
• Voice samples.
• Generated voices.
• Transcripts.

To provide the Services, you grant VoxeraX a limited, non-exclusive, worldwide license to:

• Store your content.
• Process your content.
• Generate AI outputs.
• Display your content within your account.
• Create temporary copies necessary to operate the platform.

This license ends when your content is permanently deleted from our systems, except where retention is required by law or necessary to resolve disputes, investigate abuse, prevent fraud, maintain security, or enforce these Terms.

AI Improvement

VoxeraX may use anonymized and aggregated usage data to improve, maintain, secure, evaluate, and develop the Services.

VoxeraX will not use your private voice samples or private content to train public AI models without your consent.

Feedback

If you provide suggestions, ideas, feature requests, or feedback regarding VoxeraX, you grant VoxeraX a perpetual, worldwide, royalty-free right to use, modify, and incorporate that feedback without compensation or obligation to you.

10. Acceptable Use

You agree to use VoxeraX responsibly and only for lawful purposes.

You must comply with these Terms, our Privacy Policy and our Prohibited Content & Acceptable Use Policy.

You are solely responsible for all content you upload, generate, clone, transcribe, download, publish, distribute, or otherwise use through the Services.

You may not use the Services in violation of any export-control, sanctions, or trade laws applicable to you or your jurisdiction.

You must not use VoxeraX-generated voices or content in a misleading manner, including falsely representing AI-generated voices as authentic recordings of real individuals where such representation would deceive others or violate applicable law.

11. Intellectual Property

VoxeraX, including its software, website, branding, logos, designs, documentation, and related materials, is owned by VoxeraX or its licensors and is protected by applicable intellectual-property laws.

These Terms do not grant you ownership of VoxeraX or any of its intellectual property.

Subject to these Terms, VoxeraX grants you a limited, non-exclusive, non-transferable, and revocable license to use the Services.

You may not:

• Copy or redistribute the VoxeraX platform.
• Reverse engineer or attempt to discover the underlying source code of the Services.
• Remove copyright or trademark notices.
• Use VoxeraX branding without prior written permission.
• Develop or distribute software intended to circumvent usage limits or security protections.

12. Third-Party Services

VoxeraX integrates with third-party providers to deliver certain features.

These providers may include, but are not limited to:

• AI-model providers.
• Authentication providers.
• Payment processors.
• Cloud-hosting providers.
• File-storage providers.
• Email-service providers.

Your use of VoxeraX may also be subject to the applicable terms and privacy policies of those third-party providers.

VoxeraX is not responsible for the availability, performance, content, or policies of third-party services.

VoxeraX may contain links to third-party websites or services. We are not responsible for their content, availability, security, or practices.

13. Service Availability

We continuously improve VoxeraX.

Accordingly, we may:

• Add, modify, or remove features.
• Improve existing functionality.
• Replace AI providers.
• Introduce new subscription plans.
• Perform maintenance.
• Fix bugs and security issues.

While we strive to provide a reliable service, we do not guarantee uninterrupted availability.

Temporary interruptions may occur due to:

• Maintenance.
• Provider outages.
• Infrastructure failures.
• Security incidents.
• Circumstances beyond our reasonable control.

14. Suspension and Termination

We may suspend, restrict, or terminate your account if we reasonably believe that you:

• Violate these Terms.
• Violate our Prohibited Content & Acceptable Use Policy.
• Attempt to abuse the platform.
• Engage in fraudulent activity.
• Circumvent subscription or usage limits.
• Infringe the rights of others.
• Create security risks for VoxeraX or its users.

Depending on the severity of the violation, VoxeraX may issue warnings, temporarily suspend your account, permanently terminate your account, or take any other action reasonably necessary to protect the platform and its users.

Termination of your account does not relieve you of any payment obligations already incurred.

Any provisions that, by their nature, should survive termination—including payment obligations, intellectual-property rights, disclaimers, limitations of liability, indemnification, and governing-law provisions—shall survive termination of these Terms.

15. Account Deletion

You may request deletion of your account at any time through your account settings or by contacting VoxeraX Support.

Upon account deletion:

• Your authentication account may be removed.
• Your saved voices, generated audio, transcripts, and other account data may be permanently deleted.
• Certain information may be retained where required by law or for fraud prevention, security, accounting, dispute resolution, or enforcement of these Terms.

Deleted data may not be recoverable.

16. Disclaimers

VoxeraX is provided on an “as is” and “as available” basis.

To the fullest extent permitted by law, VoxeraX makes no warranties, express or implied, including warranties of:

• Merchantability.
• Fitness for a particular purpose.
• Non-infringement.
• Availability.
• Accuracy.
• Reliability.

AI-generated content may contain mistakes, inaccuracies, omissions, or unexpected results.

17. Limitation of Liability

To the fullest extent permitted by applicable law, VoxeraX and its owners, employees, contractors, partners, affiliates, licensors, and service providers shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, business interruption, goodwill, data, or other intangible losses arising from or related to your use of the Services.

Where liability cannot be excluded by law, VoxeraX’s total aggregate liability shall not exceed the amount you paid to VoxeraX during the twelve (12) months preceding the event giving rise to the claim.

18. Indemnification

You agree to defend, indemnify, and hold harmless VoxeraX, its owners, employees, contractors, affiliates, licensors, and service providers from any claims, liabilities, damages, losses, costs, or expenses, including reasonable legal fees, arising from or related to:

• Your use of the Services.
• Your uploaded or generated content.
• Your violation of these Terms.
• Your violation of any applicable law.
• Your infringement of another person’s rights.

19. Changes to These Terms

We may update these Terms from time to time.

When we make material changes, we will update the Effective Date and may notify users through the Services or by email.

Continued use of VoxeraX after updated Terms become effective constitutes acceptance of the revised Terms.

20. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the jurisdiction in which VoxeraX is legally established, without regard to its conflict-of-law principles.

Nothing in these Terms limits any consumer rights that cannot be waived under applicable law.

21. General Legal Provisions

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy and any policies incorporated by reference, constitute the entire agreement between you and VoxeraX regarding the Services and supersede all prior or contemporaneous agreements, communications, and understandings relating to the Services.

Assignment

You may not assign, delegate, or transfer these Terms or any of your rights or obligations under them without VoxeraX’s prior written consent.

VoxeraX may assign or transfer these Terms and its rights and obligations in connection with a merger, acquisition, corporate reorganization, sale of assets, or similar transaction.

No Waiver

Failure by VoxeraX to enforce any provision of these Terms shall not constitute a waiver of that provision or of any other rights or remedies available to VoxeraX, whether with respect to past, present, or future violations.
